Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the PlatformHero platform, including the SaaS service, on-premise deployments, APIs, documentation, and any related services (collectively, the "Service") provided by DSC Group Srl, with registered office in Lonate Pozzolo (VA), Italy ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

2. Eligibility

The Service is intended for businesses and professionals. By using the Service, you represent that you are at least 18 years old and have the authority to bind the organization on whose behalf you are accessing the Service.

3. Account Registration

Certain features require account registration. You agree to provide accurate and complete information, keep your credentials confidential, and promptly notify us of any unauthorized access. You are responsible for all activity under your account.

4. Service Description

PlatformHero is an AI operations platform that provides multi-model inference, AI assistants, agent workflows, RAG knowledge base, plugins, and enterprise management tools. The Service is available as a managed SaaS, on-premise deployment (Docker or Windows installer), or cloud-hosted deployment. Feature availability may vary by license plan.

5. Licensing and Plans

Access to the Service is governed by the license plan associated with your workspace. Each plan defines quotas for users, assistants, knowledge collections, storage, agents, and daily rate limits. License activation requires a valid activation code. Licenses are non-transferable unless expressly authorized in writing.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law.
• Use the Service to generate content that is harmful, abusive, discriminatory, or violates third-party rights.
• Exceed the usage limits of your license plan or circumvent rate-limiting mechanisms.
• Redistribute, sublicense, or resell the Service without a valid partner agreement.

7. Intellectual Property

The Service, including its software, documentation, design, and trademarks, is owned by DSC Group Srl and protected by intellectual property laws. Your license grants you the right to use the Service as described in your plan — it does not grant ownership of any part of the Service. Content you create using the Service ("Your Content") remains yours; you grant us only the limited rights necessary to provide the Service.

8. Third-Party AI Providers

The Service connects to third-party AI providers (e.g., OpenAI, Anthropic, Google, Azure, AWS). Your use of these providers through PlatformHero is also subject to their respective terms of service and privacy policies. We are not responsible for the output, availability, or conduct of third-party AI models. When deploying on-premise, you connect directly to these providers using your own API keys.

9. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy. For on-premise deployments, all data remains on your infrastructure and is not transmitted to us. For SaaS deployments, data is stored on our managed infrastructure in accordance with our privacy policy.

10. Partner Program

Partners who distribute or resell PlatformHero are subject to the partner agreement executed separately. Partners are responsible for their clients' compliance with these Terms and for providing first-level support as agreed.

11. Service Availability and SLA

We strive to maintain high availability of the SaaS service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. On-premise deployments are managed by you; we provide the software and deployment tools but are not responsible for your infrastructure uptime.

12. Limitation of Liability

To the maximum extent permitted by applicable law, DSC Group Srl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI outputs will be accurate, complete, or suitable for your specific needs.

14. Termination

We may suspend or terminate your access to the Service if you breach these Terms, with or without notice depending on the severity of the breach. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will remain in effect.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Italy. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of Busto Arsizio (VA), Italy.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by the "Last updated" date at the top of this page. Continued use of the Service after changes constitutes acceptance of the revised Terms.
